These Terms of Service ("Terms") are a binding agreement between Letzgro, Inc., a Delaware corporation ("VitruAI", "we", "us"), and the individual or entity that registers for or uses the VitruAI service ("you", "Customer"). By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
VitruAI is an AI platform for architecture, engineering, and construction ("AEC"). It provides AI agents that work with your building-information models ("BIM") and project data to assist with tasks such as quality assurance/quality control ("QA/QC"), documentation, code-compliance review, coordination, takeoffs, and other project workflows. New agents and use cases are added over time. The Service is delivered as a web application at app.vitruai.com and associated desktop add-ins (including for Autodesk Revit) (together, the "Service"). The Service produces findings, reports, analyses, drafts, and other output ("Output").
2. Accounts, firms, and users
2.1 Firm accounts. The Service is organized around a firm (tenant). The first user to register a firm is its owner and may invite additional users ("Seats"). You are responsible for your users' compliance with these Terms and for all activity under your account.
2.2 Registration. You must provide accurate information, verify your email, and keep credentials confidential. You must be at least 18 and legally able to enter contracts.
2.3 Acceptable use. You will not: (a) use the Service unlawfully or to infringe others' rights; (b) upload malware or attempt to breach security, tenant isolation, or rate limits; (c) reverse engineer, resell, or provide the Service to third parties except your own authorized users; (d) use the Service to build a competing product; or (e) submit data you lack the right to process.
3. Customer data and model data
3.1 Your data. "Customer Data" means the BIM/model data, files, project information, prompts, and other content you or your users submit. As between the parties, you own Customer Data.
3.2 License to operate. You grant us a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide, secure, and support the Service, including sending it to the AI providers configured for the agents you use, as described in the Privacy Policy.
3.3 Processing role. For Customer Data that is personal data, we act as your processor under the Data Processing Addendum, which is incorporated into these Terms.
3.4 Model training. We do not use Customer Data to train our own or third-party foundation models. The AI providers we route to are engaged under enterprise/API terms that exclude training on your inputs and outputs; see the Privacy Policy.
4. AI Output — assistive only
The Service is decision-support, not a substitute for professional judgment. Output is generated by AI and automation, may be incomplete or incorrect, and must be independently reviewed by a qualified, licensed professional before you rely on it. VitruAI does not perform code compliance sign-off, engineering, or architectural certification, and the licensed professional of record remains solely responsible for the design and its compliance. 5. Fees, billing, and plans
5.1 Subscription. Paid plans are billed at $60 per Seat per month (or the rate shown at signup), charged in advance via our payment processor, Stripe. Seat count syncs to your active users.
5.2 Credit pool. Model usage draws down a prepaid credit pool you top up, subject to per-Seat caps. Credits are a prepaid balance for Service usage, have no cash value, and expire only as stated at purchase or on account closure.
5.3 Free tier. A Free tier is offered with a limited pool and caps and may be changed or withdrawn at any time.
5.4 Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes, which we may collect (e.g., via Stripe Tax) where required.
5.5 Non-payment. If a charge fails, we may suspend or downgrade the account after notice and retries. No refunds — see the Refund Policy.
6. Term, cancellation, and suspension
6.1 Cancellation. You may cancel anytime; your subscription remains active through the end of the paid period and then stops. Prepaid credits are non-refundable.
6.2 Suspension. We may suspend or limit the Service for security, abuse, non-payment, or legal reasons, using the least disruptive measure reasonably practicable.
6.3 Effect. On termination, your right to use the Service ends. We will make Customer Data available for export on written request for 30 days after termination, after which it may be deleted per our retention practices (see the Privacy Policy and DPA).
7. Intellectual property
We and our licensors own the Service, software, agent framework, rules engine, and all related IP. You receive a limited, non-transferable, revocable right to use the Service per these Terms. You own your Output as between the parties, subject to our and our providers' rights in the underlying models and Service. Feedback you provide may be used by us without obligation.
8. Third-party services
The Service relies on third parties (including AI/LLM providers, Stripe, and hosting providers). Your use may be subject to their terms, and we are not responsible for their acts or omissions.
9. Warranties and disclaimers
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR CODE COMPLIANCE OR PROFESSIONAL RELIANCE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your reliance on Output without professional review.
12. Changes
We may update these Terms; material changes will be notified by email or in-app. Continued use after the effective date of changes constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be finally settled by binding arbitration seated in Delaware, administered by JAMS under its applicable rules, before a single arbitrator; judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in the state or federal courts located in New Castle County, Delaware to protect its intellectual property or confidential information. Disputes will be resolved on an individual basis; class actions and class-wide arbitration are waived.
14. General
These Terms, the DPA, and the policies referenced here are the entire agreement. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
